Seylan Bank, a leading progressive bank in Sri Lanka, is seeking a skilled and forward-thinking Deputy Company Secretary to join their team. This role offers a great opportunity to contribute to corporate governance and company secretarial functions in a prestigious banking environment.
Job Responsibilities
- Organize Board Meetings, Board Sub Committee Meetings, Shareholder General Meetings, and other statutory meetings in compliance with regulatory requirements.
- Formulate meeting agendas, coordinate management on Board papers and presentations, ensure accurate minutes and maintenance of minute books.
- Support the Company Secretary with statutory responsibilities, compliance with Articles of Association, corporate governance requirements, and regulations from CBSL, CSE, SEC, and ICASL.
- Maintain statutory records and registers required by law.
- Contribute to preparing Directors’ Report, Corporate Governance Report, and other reports for the Annual Report in line with regulatory guidelines.
- Manage share capital-related work including additional share and debenture issues, private placements.
- Assist with dividend processing, documentation, and execution.
- Handle Company Secretarial responsibilities for Private Companies and Funds under the Bank’s supervision.
- Coordinate approvals and timely release of financial statements such as interim and final audited accounts.
- Liaise with regulators (CBSL, CSE, ROC) and outsourced service providers for effective execution of duties.
- Independently manage designated Board Sub-Committees with minimal supervision.
Qualifications and Experience
- 8-10 years of overall experience with 4-5 years in Company Secretarial work.
- Membership of the Institute of Chartered Secretaries and Administrators of UK (ACIS/FCIS), or Institute of Chartered Secretaries of Sri Lanka (ACCS/FCCS), or a Bachelor’s degree in Law with Attorney at Law status and registration as a Company Secretary with ROC.
- Strong team-building, empathy, listening, coordinating, and organizing skills.
- Fluency in English with excellent written and verbal communication skills.
- Working knowledge of corporate and securities law.
